Terms of Service

Effective date: October 25, 2026  |  Last updated: October 25, 2026

These Terms of Service (the "Terms") form a binding agreement between Yisro Systems LLC, a Florida limited liability company ("Yisro," "we," "us," or "our"), and the organization that subscribes to or uses our Services ("Customer" or "you"). If you accept these Terms for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the Services.

If you and Yisro have signed a separate Master Services Agreement, Order Form, or other written agreement covering the Services, that agreement controls where it conflicts with these Terms. Our Privacy Policy and any Business Associate Agreement between us form part of these Terms.

1. The Services

Yisro provides revenue intelligence software for healthcare organizations. Through the Yisro Portal and our analyst assistant, Jethro, customers connect scheduling, electronic health record, billing, clearinghouse, accounting and bank systems, reconcile what was performed, billed, paid and deposited, ask questions in plain English, and receive figures, reports, files, dashboards and scheduled deliveries (together, the "Services"). We may improve and change the Services over time. We will not materially reduce the core functionality of a paid subscription during its current term.

Features we label "Coming soon," "beta," "preview," or similar are not generally available. We provide them as-is, and we may change or discontinue them.

2. Accounts and users

3. HIPAA and the Business Associate Agreement

If you are a covered entity or business associate under HIPAA and you will make Protected Health Information ("PHI") available to the Services, you and Yisro must sign a Business Associate Agreement ("BAA") before you connect any system containing PHI. The BAA governs our creation, receipt, maintenance, use, disclosure and transmission of PHI, and controls over these Terms on any matter involving PHI. We maintain downstream BAAs with each of our providers and integration partners that handle PHI, as described in our Privacy Policy.

4. Customer Data

5. Third-party integrations

The Services connect to systems that third parties operate, such as PointClickCare, Office Ally, Sage Intacct, NIKO, SEEK, payer remittance sources and banks ("Third-Party Systems"). You authorize us to access each Third-Party System you connect, using the credentials or authorizations you provide, for the purpose of delivering the Services.

6. Jethro and AI output

Jethro uses large language models, provided by Anthropic, PBC under a BAA, to interpret questions and explain results. We build Jethro to compute figures from definitions your team approves, to show what each figure counts, and to state the date its data is current to. Even so:

7. Security and compliance

We maintain administrative, physical and technical safeguards designed to protect Customer Data, consistent with the HIPAA Security Rule and the SOC 2 Trust Services Criteria. Those safeguards include encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access with multi-factor authentication, audit logging, tenant isolation, workforce training, vendor management, and incident response procedures. We host the Services in the United States on Google Cloud Platform. We do not store full payment card numbers; a PCI DSS-validated processor handles card payments to us. On request and under confidentiality, we will provide security documentation, such as our security overview and completed questionnaires, and any available third-party audit reports.

We will notify you of any security incident or breach affecting your Customer Data as the BAA and applicable law require.

8. Customer responsibilities

You agree to:

9. Acceptable use

You and your Users will not:

We may suspend access that we reasonably believe threatens the security or integrity of the Services or violates this Section. We will notify you and restore access once the issue is resolved.

10. Fees and payment

You agree to pay the fees in your Order Form or subscription plan. Unless your Order Form states otherwise, we invoice fees in advance, they are due within 30 days of the invoice date, and they are non-refundable except as these Terms provide. Fees exclude taxes, which you will pay except for taxes on our income. We may charge interest on overdue amounts at the lesser of 1% per month or the maximum rate law allows, and may suspend the Services if payment is more than 30 days overdue after we give you written notice. We may change fees for a renewal term by giving you at least 30 days' notice before the renewal.

11. Intellectual property

We and our licensors own the Services, including our software, models, definitions libraries, designs, documentation, and the Yisro and Jethro names and logos. Subject to these Terms and payment of fees, we grant you a non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. If you send us suggestions or feedback, we may use them without obligation to you.

12. Confidentiality

Each party will protect the other's non-public business, technical and financial information that it receives ("Confidential Information") with at least reasonable care, use it only to perform under these Terms, and disclose it only to employees, contractors and advisers who need it and who are bound by similar obligations. Confidential Information does not include information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from a third party. A party may disclose Confidential Information when law requires, after giving the other party prompt notice where lawful. The BAA governs PHI.

13. Term and termination

14. Warranties and disclaimers

Each party warrants that it has authority to enter into these Terms. We warrant that the Services will perform materially as described in our documentation, and that we will not materially decrease the security of the Services during your subscription. Your remedy for breach of these warranties is for us to correct the issue, or if we cannot within a reasonable time, for either party to terminate the affected subscription and for us to refund prepaid fees for the remaining term.

Except as expressly stated in these Terms, we provide the Services "as is" and "as available," and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that AI-generated outputs will be accurate or complete, or that use of the Services will produce any particular financial result or recovery.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of their possibility. Each party's total liability arising out of or relating to these Terms will not exceed the fees paid and payable by Customer to Yisro in the twelve (12) months before the event giving rise to the claim.

These limits do not apply to a party's indemnification obligations, a party's breach of Section 12 (Confidentiality) or of the BAA, Customer's payment obligations, or a party's gross negligence, fraud or willful misconduct.

16. Indemnification

We will defend you against any third-party claim alleging that the Services, as we provide them, infringe that party's intellectual property rights, and will pay resulting damages and costs finally awarded or agreed in settlement. This obligation does not apply to claims arising from Customer Data, Third-Party Systems, or your modification or misuse of the Services. You will defend us against any third-party claim arising from Customer Data, your breach of Section 8 or 9, or your violation of law, and will pay resulting damages and costs finally awarded or agreed in settlement. The indemnified party must give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, which may not settle a claim that imposes liability on the indemnified party without its consent.

17. Governing law and disputes

The laws of the State of Wyoming govern these Terms, without regard to conflict-of-laws rules. Before starting any formal proceeding, the parties will try in good faith for 30 days to resolve a dispute through discussion between senior representatives.
